Terms of Service
These Terms of Service ("Terms") govern your access to and use of the products and services provided by Convexa Technologies Ltd ("Convexa", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using Convexa, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of your organisation, and agree to be bound by all terms herein.
These Terms constitute a legally binding agreement between you ("Customer", "you") and Convexa Technologies Ltd, a company incorporated in England and Wales (Company No. 14782913), with its registered office at 20 Farringdon Road, London, EC1M 3HE.
2. The Services
Convexa provides a customer intelligence and retention platform for independent e-commerce brands, including the Signal Engine, CRM Intelligence, Shopping Co-Pilot, WhatsApp Commerce, and Workflow Automation modules ("Services").
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable prior notice where practical. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
3. Accounts & Access
Account creation
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
Authorised users
You may grant access to the platform to team members ("Authorised Users") up to the limit permitted by your subscription plan. You are responsible for ensuring all Authorised Users comply with these Terms.
Account security
You must notify us immediately at security@convexa.io if you become aware of any unauthorised access to your account.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Transmit unsolicited commercial communications in violation of applicable anti-spam laws
- Upload or transmit malicious code, viruses, or harmful data
- Attempt to gain unauthorised access to any system or network
- Scrape, data-mine, or collect information from other users without their consent
- Reverse engineer, decompile, or disassemble any part of the platform
- Resell or sublicense the Services to third parties without our written consent
- Use the Services in a manner that could impair performance or availability for other customers
We reserve the right to suspend or terminate accounts that violate these acceptable use requirements.
5. Subscriptions & Billing
Subscription plans
Access to the Services is provided on a subscription basis. Your plan, pricing, and included features are as set out at the time of purchase. Plan details are available on our pricing page.
Billing
Fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are exclusive of taxes unless otherwise stated. You authorise us to charge your chosen payment method on a recurring basis.
Free trials
We may offer a 14-day free trial. No credit card is required during the trial period. Upon trial expiry, you will be offered the option to subscribe. Your store data will be retained for 30 days after trial expiry before deletion.
Refunds
We do not offer refunds for partial subscription periods. If you cancel mid-month, you retain access until the end of the current billing period. Annual plan refunds are considered on a case-by-case basis within 14 days of payment.
Price changes
We may change subscription pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
6. Data Ownership
You retain all right, title, and interest in and to your data (including your customers' data synced from Shopify). You grant Convexa a limited, non-exclusive licence to process your data solely for the purpose of providing the Services.
We will not use your data for any purpose outside of providing and improving the Services as described in our Privacy Policy. We will not sell your data or share it with third parties for their own commercial purposes.
7. Intellectual Property
Convexa retains all right, title, and interest in the platform, software, algorithms, UI, documentation, and all other intellectual property comprising the Services. These Terms do not transfer any ownership of Convexa IP to you.
You grant Convexa a limited licence to use your trademarks and brand assets solely for the purpose of providing the Services and, with your prior written consent, for marketing purposes (e.g., listing you as a customer).
8. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with these Terms ("Confidential Information"), and to use such Confidential Information only in connection with the Services.
Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this agreement; (b) was already known prior to disclosure; (c) is received from a third party without restriction; or (d) is independently developed without use of the Confidential Information.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONVEXA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Convexa does not warrant that the Services will be uninterrupted, error-free, or that any predictions, signals, or recommendations will be accurate or achieve any particular outcome. Signals and recommendations are provided for informational purposes only.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONVEXA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICES.
CONVEXA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) £500.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Convexa and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any third-party claim relating to your data or your use of the Services.
12. Termination
By you
You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of your current billing period.
By Convexa
We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees when due, or if we are required to do so by law. We will provide reasonable prior notice where possible.
Effect of termination
Upon termination, your right to access the Services ceases. We will retain your data for 90 days following termination, after which it will be deleted. You may request an export of your data before that date.
13. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any formal dispute, you agree to first contact us at legal@convexa.io and attempt to resolve the dispute informally for at least 30 days.
14. Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice for material changes via email or prominent notice within the platform. Your continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
